1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of PSLBuffalo.com and the services offered through it (the "Service"), operated by PSL Buffalo ("we," "us," or "our"). By using the Service, reserving or listing a Personal Seat License ("PSL"), or otherwise transacting through us, you agree to these Terms. If you do not agree, do not use the Service.
2. What PSL Buffalo Is — And Is Not
PSL Buffalo is an independent marketplace and brokerage based in Western New York that connects buyers and sellers of PSLs and facilitates the secure handling of funds between them.
PSL Buffalo is not affiliated with, authorized by, endorsed by, or sponsored by any professional sports team, the National Football League, any stadium operator, or any official PSL agent. All team names, logos, and trademarks are the property of their respective owners and are referenced only descriptively.
3. Understanding What a PSL Is
A Personal Seat License is a long-term right — and an ongoing obligation — to purchase season tickets for a specific seat at the stadium. You should understand the following before transacting:
- Ongoing season-ticket obligation. A PSL generally requires the holder to purchase season tickets each year to keep the seat. Failing to do so may result in forfeiture of the PSL with no refund.
- It is not an investment. A PSL is acquired for the right to enjoy seat-related benefits, not as a financial investment. There is no guarantee that a resale market will exist or that any PSL can be resold at any particular price, or at all.
- It conveys no ownership. A PSL grants a personal privilege only and does not convey any ownership, equity, or real-property interest in any team, stadium, or operator.
4. Transfers Are Subject to Third-Party Approval
The purchase, sale, or transfer of a PSL is governed by the underlying license agreement between the licensee and the official PSL agent. You acknowledge and agree that:
- Most transfers require the prior written approval of the official PSL agent and may be subject to a transfer fee and conditions set by that agent.
- A transfer is not complete until it is approved and recorded by the official PSL agent in accordance with the underlying agreement.
- PSL Buffalo does not grant approvals, set transfer fees, or guarantee that any transfer will be approved. Our role is to connect the parties and facilitate the process and the secure handling of funds.
- The seller represents that they are the rightful holder of the PSL, that it is in good standing, and that they are permitted to transfer it.
- A transfer generally cannot be recorded while any license-fee installment balance or PSL financing remains outstanding, unless the official PSL agent approves an assumption of those obligations.
- Transferees must meet the eligibility requirements of the underlying license agreement, including never having been barred from or removed from any stadium or similar venue; reserved-seat PSL ownership may also be capped by the PSL agent (currently eight per licensee).
- No transfer releases the seller from obligations under the underlying agreement unless the official PSL agent issues a written release.
- In any conflict between these Terms and the underlying license agreement, the underlying license agreement controls as between the licensee and the official PSL agent.
5. Payments, Held Funds, and Refunds
- Deal payments are made by ACH bank transfer or domestic wire using the instructions we provide after a transaction is confirmed. Credit and debit cards are not accepted for deal funding.
- Payment processing and seller payouts may be facilitated through our third-party payment platform (Stripe, including its Connect service). You agree to their terms as part of completing a payment.
- Funds for a transaction are secured and held in trust — in a segregated holding account or with our regulated payments platform — and released to the seller only when the transfer is approved and recorded.
- PSL Buffalo is not a licensed escrow agent. If the parties elect to use a third-party escrow service for a transaction, the terms of that service govern the held funds.
- If a transfer cannot be completed, funds held for that transaction will be returned to the buyer, less any third-party processing fees that are non-refundable by the processor.
- Fees charged by the official PSL agent, the team, or the stadium (including transfer fees and season-ticket costs) are separate from any PSL Buffalo service fee and are not refundable by PSL Buffalo.
6. Listings and Accuracy
We make reasonable efforts to verify listings, but we do not guarantee the accuracy of every detail provided by sellers or the availability of any particular seat. Seating-map zones and section numbers shown on the Site are general illustrations and may differ from the final stadium configuration.
7. Your Responsibilities
- You must be at least 18 years old and able to form a binding contract.
- You agree to provide accurate information and to use the Service only for lawful purposes.
- You are responsible for any taxes associated with your transaction.
- You agree not to misuse, disrupt, or attempt to gain unauthorized access to the Service.
8. No Professional Advice
Nothing on the Service constitutes legal, financial, tax, or investment advice. You should consult your own professional advisors before entering into any PSL transaction.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any transfer will be approved or completed.
10. Limitation of Liability
To the fullest extent permitted by law, PSL Buffalo and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of value of a PSL or inability to transfer or resell a PSL. Our total liability for any claim relating to the service will not exceed the service fees you paid to PSL Buffalo for the transaction giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless PSL Buffalo from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your transactions, or your breach of these Terms.
12. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Erie County, New York, and you consent to that jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted with an updated "Last updated" date, and your continued use of the Service constitutes acceptance of the changes.
